API Media to Focus on Acoustic Technologies

Datavault AI, a technology licensing company listed on NASDAQ, has announced plans to spin out its Acoustic Sciences division into a new public company named API Media. This initiative aims to enhance focus and operational efficiency for both divisions, allowing them to thrive independently.

API Media is set to list on NASDAQ under the ticker symbol ‘ADIO’. For the transaction to move forward, it needs board approval and must adhere to regulatory conditions. Datavault AI shareholders stand to receive shares in both entities, potentially unlocking additional value. CEO Nathaniel T. Bradley remarked, “We are excited to unlock the full potential of our Acoustic Sciences division by exploring a potential spin-out as API Media, a stand-alone public company that we anticipate will thrive independently on NASDAQ under the ticker ADIO.”

Strategic Focus on Acoustic Technology

Concentrating on acoustic industry standards, API Media will focus on high-definition wireless transmission and spatial-audio control. Partnerships with Dolby and WiSA, alongside patented technologies, are expected to help establish a strong market presence. In addition to acoustic technology, API Media will foster innovations in robotic and drone applications. The company plans to execute its WiSA semiconductor and software modules strategy, enhancing its research and development efforts in emerging technologies.

At significant events such as the Kentucky Derby and the upcoming 2026 PGA Championship, the Acoustic Division of Datavault AI has showcased its capabilities. These events demonstrate the division’s ability to deliver clear, high-definition audio to large audiences. Plans for the spin-out aim to complete the process by the end of 2026. Houlihan Lokey is acting as the financial advisor, while Paul Hastings LLP provides legal support. The objective is to align the strategic goals of both divisions with the company’s future vision.

Datavault AI will maintain its focus on core AI-driven data monetization platforms. The spin-out is anticipated to sharpen the company’s concentration, enabling it to redefine data valuation and secure Web 3.0 experiences. Meanwhile, the Acoustic Sciences division will grow independently. To facilitate the transition, Datavault AI has engaged financial advisors and interviewed investment banks. After negotiating optimal terms, the company will decide on its banking partner, ensuring a smooth transition for the creation of API Media.
