Gold Resource merger approved by shareholders

Deal with Goldgroup targets closing on or about 17th July 2026

Gold Resource Corporation shareholders approved the company’s merger plan at a special meeting held on 2nd July 2026, moving the deal toward an expected close on or about 17th July 2026.

The Denver-based company trades on NYSE American under the ticker GORO. Investors backed the Arrangement Agreement and Plan of Merger dated 25th January 2026 and amended on 15th May 2026.

The agreement joins Gold Resource Corporation with Goldgroup Mining Inc. Of British Columbia and Goldgroup Merger Sub Inc., a Colorado corporation and wholly owned Goldgroup subsidiary.

Under the structure, Merger Sub will merge with and into Gold Resource Corporation. Gold Resource will survive and become a wholly owned subsidiary of Goldgroup.

However, the companies still need all required approvals and must satisfy or waive all closing conditions. Goldgroup also must complete a share consolidation before the merger can close.

According to Gold Resource, more details appear in the proxy statement for the special meeting filed with the Securities and Exchange Commission on 29th May 2026.

Don David Gold Mine Oaxaca

Gold Resource Corporation is a gold and silver producer, developer and explorer with operations centred on the Don David Gold Mine in Oaxaca, Mexico.

The company also holds a large land position around the Oaxaca mine. It has told investors it aims to unlock more value from existing infrastructure there.

Meanwhile, Gold Resource is developing the Back Forty Project in Michigan, USA, alongside its Oaxaca assets.

Gold Resource warned that expected timing for the merger involves risks and uncertainties. It also directed investors to periodic and current SEC reports for additional risk details.

Following the 2nd July 2026 vote, the shareholder approval removes a key step in the transaction process. If the remaining conditions are met, the merger is expected to close on or about 17th July 2026.
