Detailed Changes to Share Reserve Caps
Aris Mining Corporation, listed on the TSX and NYSE as ARIS, has revised its equity compensation plans before the annual general meeting (AGM) scheduled for May 7, 2026. The company decided to reduce the initially proposed share reserves, which were deemed greater than necessary after further review.
In January 2026, Aris Mining granted long-term incentive awards, including stock options, restricted share units, and performance share units. These awards represented approximately 0.35% of the company’s issued shares, indicating the initial reserves were excessive. As a result, the Board of Aris Mining approved several changes to the equity compensation plans.
The amended Stock Option Plan now reduces its rolling reserve for stock options from 10% to 3%. Similarly, the Performance Share Unit Plan (PSU Plan) and the Restricted Share Unit Plan (RSU Plan) have their combined rolling reserve reduced from 5% to 3%. The total number of common shares that may be issued under the company’s equity compensation plans has been decreased from 10% to 6% of the outstanding shares.
These updated plans are available on SEDAR+ and in the company’s filings with the U.S. Securities and Exchange Commission. They replace the corresponding plans included in the Circular dated March 24, 2026. Shareholders will be asked to approve the updated plans at the AGM or any adjournment thereof.
The Board of Directors recommends that shareholders vote in favour of these revised plans. The Toronto Stock Exchange has conditionally approved the updated Stock Option Plan, PSU Plan, and RSU Plan, which will be presented for shareholder approval at the AGM. According to the Board, approval of the updated plans will replace all references to the old versions in the Circular.
