Key Outcomes from the Shareholder Meeting

On May 7th, Aris Mining Corporation revealed the outcomes of its 2026 Annual General Meeting in Vancouver, British Columbia. A total of 86,832,318 shares, representing 42.09% of the outstanding shares, were represented either in-person or by proxy.

Shareholders elected several directors to the board. Neil Woodyer, with 97.86% approval, and Germán Arce, who garnered 99.73%, were among those appointed. Brigitte Baptiste and Daniela Cambone received 99.67% and 98.53% of the votes, respectively. David Garofalo secured 86.05% of the shareholder votes.

Approval for KPMG LLP as the company’s auditor for the 2026 fiscal year was overwhelming, with 98.63% voting in favor. The board will decide on the remuneration for KPMG LLP.

Approval of Key Resolutions

During the meeting, shareholders approved several critical resolutions. The amended restricted share unit plan passed with 89.28% of votes. An even stronger approval was seen for the performance share unit plan, which received 98.22% of the votes.

Although the stock option plan had the lowest approval rate at 69.28%, it was still successful. Executive compensation was also reviewed, with the ‘Say-on-Pay’ advisory vote receiving 87.10% approval.

Aris Mining is a key player in the Canadian gold mining industry, focusing on operations in South America. The company runs the Segovia and Marmato underground gold mines in Colombia, which produced about 257,000 ounces of gold in 2025.

Expansion projects are underway at Segovia and Marmato. These initiatives are expected to increase annual gold production to approximately 500,000 ounces by late 2026. This strategic expansion reflects Aris Mining’s commitment to enhancing production capabilities.

Aris Mining is publicly traded on both the Toronto Stock Exchange and the New York Stock Exchange under the symbol ARIS. Its focus on growth and development in Colombia aims to strengthen its position in the gold mining sector.
